Nigeria Executive Summary Space City Energy Marketing, LLC (SCEM) is a minority owned company focused on selling natural gas and power to utilities, industrials and government agencies. SCEM is a full-service energy marketer with expertise in all aspects of gas marketing including fuels procurement, transportation, storage, and risk management. SCEM would like to explore the opportunity of expanding our portfolio of customers throughout North America to participate in helping various companies achieve their woman and minority goals. Success in this process is heavily dependent upon securing lines of credit to purchase the natural gas and power needed for resale. SCEM has an established book of business with utilities and large industrial end-use customers. These markets have long standing goals to do business with Women and Minority-Owned Business Enterprises (WMBE). In the State of California for example, all electric, gas, and telephone utility companies (including their regulated subsidiaries and affiliates) with gross annual revenues in excess of $25, 000, 000 are required to participate in the California WMBE Clearinghouse. They are required to develop and implement programs designed to increase the utilization of WMBE’s in their procurement activities. Procurement goals of 5% for women and 15% for minorities were initially established, and later augmented to include a 1.5% goal for disabled veterans. The National Regulatory Utility Commission and the Department of Energy are among many government and state agencies that monitors these goals and similar programs throughout North America. Space City Energy has formed a partnership with an African Citizen to formed Space City Energy LTD. Nigeria to focus on building an international oil and domestic natural gas, oil, biodiesel, jet fuel and power plant development renewable and non-renewable plants. Formerly Space City Energy had a consultant contract as the Director of Trading with Camac International from 2004 to 2008 an African owned company lifting and drilling for oil in Nigeria Africa. Space City was able to utilize Camac’s balance sheet and acquire over $60 million in balance sheet credit with major suppliers in the US to market power, gas, oil and other products to Utilities, Government / State Agencies, Industrials, Airlines and any corporate entities with minority goals to energy in North America. The Proposal SCEM is a marketing company with established relationships with credit worthy end-users committed to doing business with minority companies. SCEM is able to add value to the supply chain and make high margin energy sales directly to end-use markets by providing innovative solutions through the use of extensive knowledge in structured products. Our strategic alliances and relationships with Tribal producers and others will allow us to market natural gas and oil using upstream transportation options to obtain higher returns. Marketing to investment grade creditworthy customers and utilizing structured hedging products along with the physical commodity is the difference. This process will afford SCEM the opportunity to receive enhanced returns. It is important to note that these are not speculative transactions, all transactions will be “back-to-back” gas and oil sales and they will be properly hedged. SCEM has an established group of experience professional gas marketers and a back office system with the ability to manage gas flow from the well head to the burner-tip. This technology, will allow SCEM to recognize a significant cost savings by eliminating the need to hire a mid and back office staff to handle gas control, scheduling, accounting, mark-to-market reporting and invoicing. The back office system sets us apart from other WMBE Companies, and gives us the ability to protect our margins, by tracking and accounting for every MMBTU bought and sold, effectively managing our hedge positions. In North America there is a great opportunity and a huge market for WMBE Companies that have the ability to finance commodity purchases with letters of credit and selling to credit worthy end-users that have an incentive to do business with WMBE companies. Every LDC in North America has a goal set by their Public Utility Commission to do a percentage of their gas and power purchases with WMBE Companies. Large industrials have cooperate incentives to do a percentage of their energy purchases with WMBE Companies because the majority of their product are sold to minorities. Currently this advantage in the market place for WMBE business is not being capitalized on due to credit constraints since the fall of the economy. Historically there has only been one WMBE Company in North America that was able to capitalize on this opportunity and that is Cook Inlet through the advantages brought by their investor The Harvard Group. Cook Inlet has lost their WMBE status due to Macquarie Bank purchasing the majority interest in the company. In North America SCEM is looking for credit support to purchase wholesale power, natural gas , jet fuel, and oil to sale it to credit worthy end users to take advantage of the WMBE business in North America . In North America SCEM has a nationwide deal with Spark Energy to supply residential power to Veterans and Active Military with deposit waiver for our Nation’s Heroes. In Nigeria SCEM is working with Global Green Development to build a Biodiesel plant in Kogi State, SCEM responsibility will be to help refinery to market off take agreements for biodiesel 100, fertilizer and other products. SCEM is also working with Resource Management Solutions in Africa and North America on Waste to Power projects utilizing plasma gasification system with steam turbines. SCEM LTD Nigeria goal is the bid on an oil allotment from the NNPC, SCEM also has the back office scheduling experience to help manage the oil allotment. SCEM is currently looking for a credit worthy partner to post the credit needed in order to be awarded an oil allotment from the NNPC and work with Indigenous Tribes on marginal & capped wells. SCEM is working in a new arena with 3 renewable companies marketing Wind, Solar and Bio Mass to secure long term PPA’s with credit worthy end-users.
